THE GREAT MODEL SEARCH® 2010 – CONTEST RULES

Term

Johnson Products Company, Inc.’s The Great Model Search® begins Friday, January 15, 2010 and ends Thursday, April 15, 2010 at 11:59 p.m. Midnight, EST. The Great Model Search® is void where prohibited. Johnson Products reserves the right to cancel the Promotion or modify these rules at its discretion. Decisions of Johnson Products on all aspects of the Promotion will be final.

Who May Enter

By submitting an entry, together with proof of purchase of a current Gentle Treatment® or Ultra Sheen® product, each contestant agrees to the rules of the contest and states that they are at least 18 years of age or older. The Great Model Search® is open only to legal residents of the 50 United States and the District of Columbia over the age of 18 who have no professional affiliation or background with any modeling agency and have not received remuneration of any kind in connection with modeling, merchandising, or other agreement that at the sole discretion of Johnson Products would result in disqualification. Employees of Johnson Products, affiliates, and agencies involved in The Great Model Search’s development and each of their immediate family members are not eligible to participate as entrants or judges as described herein. Johnson Products’ determination of eligibility at its sole discretion will be final.

How to Enter

To enter, visit http://www.thegreatmodelsearch.com and follow the links and instructions to complete The Great Model Search® registration, including a valid email address you check on a regular basis. Provide your home mailing address (no PO Boxes please), phone number where you may be reached during working and non-working hours and the qualifying UPC code above referenced. When prompted, upload the following (hereinafter referred to as the “Submission”):

• One (1) photo of yourself in .jpeg or non-animated .gif format
• The photo may not exceed 4MB in size
• The Photo must be taken within the last three (3) months
• The photo may not be digitally enhanced other than for slight color or tone adjustment and the like
• No prior submission of this photo has been made by you for any other kind of promotion
• The photo must be free of any virus, spyware, or other damaging content
• The UPC code of a current Gentle Treatment® or Ultra Sheen® product

 We will not accept photographs submitted by mail. A photo must accompany your entry.

Content Restrictions

1. The Submission must not contain material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights;
2. The Submission must not contain any individual(s) other than entrant;
3. No other party, other than the entrant, has any right or title in and to the Submission or any portion thereof;
4. Entrant has all rights necessary to submit the Submission in the Contest in accordance with these Official Rules;
5. The Submission, as determined at Johnson Products' sole discretion, must not violate any non-compete agreement, contract or other legal document entrant has entered with an employer (whether current or former), vendor, client or other third party;
6. The Submission must not contain brand names or trademarks, except for the Johnson Products trademark and any associated Johnson Products elements available on the Website for which entrant has a limited license to use for the sole purposes of creating and uploading a Submission into this Contest with any other use being expressly prohibited.
7. The Photo must not contain images, artwork or any other materials not created by entrant;
8. The Submission must not contain material that, at the sole discretion of Johnson Products, is inappropriate, indecent, obscene, hateful, tortuous, defamatory, slanderous or libelous;
9. The Submission must not contain material that, at the sole discretion of Johnson Products, promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and
10. The Submission must not contain material, footage, elements or components that are unlawful, in violation of or contrary to the laws or regulations in any state where it, or any part thereof, is created.

Limits

Each entrant may upload one (1) eligible Submission during the Submission Phase, which runs from January 15, 2010 thru March 31, 2010.  Any attempt by any entrant to obtain more than one (1) eligible Submission by using multiple/different email addresses, identities, registrations and logins, or any other methods will void all of that entrant's entries and that entrant may be disqualified from The Great Model Search® and any of Johnson Product's other promotions. Any attempt by any entrant, family member or friend of any entrant to register voter accounts and/or place votes on the behalf of others by using multiple/different email addresses, identities, registrations and logins, or any other methods will void all of that entrant's entries and that entrant may be disqualified from The Great Model Search® and any of Johnson Product's other promotions, at the sole discretion of Johnson Products. Uploading an entry, as described herein in more detail, constitutes entrant's consent to give Johnson Products a royalty-free, transferable, assignable, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such entries and Submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed for any purpose whatsoever, including for promotional or marketing purposes. If necessary, entrant will sign any necessary documentation that may be required for Johnson Products or its designees to make use of the non-exclusive rights entrant is granting to use the entries and Submissions or any portion thereof. Johnson Products is not responsible for lost, late, incomplete, invalid, un-intelligible or misdirected entries, which are disqualified.

Entry Deadline

All Submissions must be received on The Great Model Search® website by 11:59 p.m. EST, Wednesday, March 31, 2010.

Judging

Judging will be conducted in three phases, Consumer, Semi-Finalist, and Finalist.  One honorary judge will be partially drawn from the pool of applicants that enter the “Vote to Win” sweepstakes portion of The Great Model Search® . Potential “Vote to Win” sweepstakes entrants are encouraged to visit the “Vote to Win” tab on The Great Model Search® website in order to be informed on prizes and qualifications. Judging will take place on the following timetable:

1. Consumer Voting Phase-February 1 – April 15, 2010. During this phase legal residents of the 50 United States and the District of Columbia will be invited to vote for the contestant of their choice. Consumer judging will be premised on photogenic quality; beautiful hair; audience resonance; sense of style and the like. A consumer may only vote once per 24-hour period.
2. Semi-Finalist Judging Phase-April 15 - April 30, 2010. During this phase, a panel of qualified judges selected by Johnson Products at its sole discretion, will review and judge each Submission on the same criteria as the Consumer Voting Phase. The 48 Contestants who receive the highest scores from the Consumer Voting Phase will be evaluated by the panel and 16 contestants will be selected as potential semi-finalists. From this pool, the Semi-Finalists will be qualified by background check. A qualifying Semi-finalist will be requested to return an Affidavit of Eligibility, Liability and Release (the “Affidavit”) (except where prohibited by law), which among other matters will authorize the background investigation and release any claims arising from the investigation. Any individual who fails the background investigation at Johnson Product’s sole discretion or fails to timely submit the Affidavit will be replaced by the next highest scoring Submission and the process of qualifying as a Semi-Finalist will be repeated until the 48 Semi-Finalists are selected.
3. Finalist Stage April 30 - May 15, 2010. During this phase, a panel of qualified judges selected by Johnson Products, at its sole discretion, will select 8 finalists from the 16 semi-finalists, using the same criteria as used in the Consumer and Semi-Finalist phases. These eight (8) finalists will be selected to receive an all-expense paid trip to attend the official The Great Model Search® Finale Event, the date, place and location of which will be provided at time of selection. At The Great Model Search® Finale Event each of the finalists will be invited to an interview. The criteria for selection as Grand Prize Winner and Runner Up Winner will be as follows:
   1. Beauty and Charm;
   2. Personality, Vivaciousness and Style;
   3. Eloquence;
   4. Strong academic and/or professional background;
   5. Personification of the brands of the Company;
   6. Strong moral fiber and character.
4. After the interview process, the Finalist panel will select the potential 4 Grand Prize Winners and the potential 4 Runner up Prize Winners.

For Semi-Finalists

Selected Semi-Finalists will be notified by email, phone or registered mail by Johnson Products of their selection by April 30, 2010 and will appear on The Great Model Search®  website on or after that date.

For Finalists

Each selected Finalist will be notified by email, phone, or registered mail by Johnson Products on or before May 15, 2010 and will appear on The Great Model Search® website.  Each selected Finalist must agree to fulfill any travel or other requirements at the reasonable expense of Johnson Products as determined by Johnson Products at its sole discretion. If a selected Finalist fails to agree to do so, she will be disqualified and will not advance to the Finalist judging phase. In the event of such a disqualification, and if time permits, Johnson Products may select the next highest scoring Semi-Finalist to take the place of the Finalist until there are eight (8) Finalists. The replacement Finalist selected will proceed to the Finalist Stage for the interview where the Grand Prize and Runner-up winners will be selected.

Prizes

(a) For All Finalists:

Eight (8) FINALIST PRIZES: Travel to a Johnson Products selected location for The Great Model Search® Finale Event to conduct the interview required in the Finalist Judging Phase consisting of roundtrip, coach-class air transportation for Finalist from a major airport near Finalist's home (determined by Johnson Products at its sole discretion); one (1) night accommodation at Johnson Product's choice of hotel (single room, double occupancy); roundtrip transportation between airport and hotel; and a $200 travel stipend. Travel must be roundtrip. Johnson Products will determine airline and flight itinerary at its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel is subject to the terms and conditions set forth in these Official Rules, and those set forth by Johnson Product’s airline carrier of choice as detailed in the passenger ticket contract. If a Finalist lives within 250 miles of the location of the Finalist Judging Phase interview, then Finalist will receive $200 in substitution for roundtrip air travel at Johnson Product's sole discretion. The Company is not responsible if the interview is delayed, postponed or cancelled. All expenses, travel, and other costs not expressly stated in the package description above are the sole responsibility of Finalist. Restrictions, conditions and limitations may apply. Lost, mutilated, or stolen tickets, vouchers or certificates will not be replaced. Approximate Retail Value ("ARV") of the lodging and travel package is $1,500. The ARV of travel may vary based on airfare fluctuations and distance between departure and destination. Finalist will not receive difference between actual and approximate retail value. 

(b) For Winners:

GRAND PRIZE (4 WINNERS): The opportunity to sign a talent agreement to be The Great Model Search®  Winner and $5,000. Company may revoke The Great Model Search® opportunity prior to the signature of any talent agreement and may subsequently award The Great Model Search® opportunity to an alternate Winner at any time and for any reason including, but not limited to, inappropriate behavior by the Selected Winner(s), failure of the Selected Winner(s) to appropriately represent Company's brand or embody brand ideals or injury, illness and/or death. Winner(s) also receives a complete beauty makeover by a professional hairstylist and makeup artist, and a one-year supply of Gentle Treatment® or Ultra Sheen® products. ARV of the Grand Prize: $5,000 in addition to the ARV of the travel/lodging/makeover package for all Finalists.

RUNNER UP PRIZE (4 WINNERS): $1,500 in cash, an opportunity for a Johnson Products modeling contract, a complete beauty makeover by a professional hairstylist and makeup artist, a one year supply of Gentle Treatment® or Ultra Sheen® products. ARV: $2,000 in addition to the ARV of the travel package for all Finalists.

Who May Enter

By submitting an entry to be a voter, each Entrant agrees to the rules of the contest and states that they are at least 18 years of age or older. “Vote to Win” is open only to legal residents of the 50 United States (excluding Rhode Island) and the District of Columbia over the age of 18. Employees of Johnson Products, affiliates, and agencies involved in The Great Model Search’s development and each of their immediate family members are not eligible to participate as judges as described herein. Johnson Products’ determination of eligibility at its sole discretion will be final.

How to Enter

To enter visit http://www.thegreatmodelsearch.com and follow the links and instructions to complete the “Vote to Win” registration to be a voter, including a valid email address you check on a regular basis. Provide your home mailing address (no PO Boxes please), phone number where you may be reached during working and non-working hours. Completion of the survey and opt-in is mandatory in order to be entered in the “Vote to Win” sweepstakes.  Failure to complete survey during registration will disqualify you from being entered in the “Vote to Win” sweepstakes to win advertised prizes.

Limits

Each voter may vote once every 24 hours during the Voting Phase, which runs from February 1, 2010 thru April 15, 2010 on the model of his/her choice.

Judging

Voters who complete the survey and opt-in, as required, are entered into the sweepstakes pool to win the Grand Prize of becoming an Honorary Judge during The Great Model Search® Finale Event.  Judging will be conducted in three phases, Consumer, Semi-Finalist, and Finalist. Voting and judging will take place on The Great Model Search® judging timetable.

Prizes

For All Prizes (Contest and Sweepstakes)

Each prize is non-transferable and no substitution will be made unless Johnson Products, at its sole discretion, determines otherwise. No cash equivalent will be awarded. Johnson Products reserves the right to substitute a prize or prize component for one of equal or greater value should it become unavailable for any reason. Each Finalist and Winner is responsible for all taxes and fees associated with prize receipt and/or use and will be issued a form 1099 Miscellaneous Income statement from Johnson Products to be included by the Winner in their respective tax return.

Publicity

All Entrant’s will be expected to participate in live or broadcast The Great Model Search® publicity events, including press conferences, interviews and photo opportunities. Except where prohibited, participation in The Great Model Search® constitutes Entrant's consent for the Johnson Products and Johnson Products' designees to use Entrant's name, likeness and state of residence for promotional purposes in any media without further consideration. Acceptance of any prize shall constitute and signify a Winner's agreement and consent that Johnson Products may use the applicable Winner's name, city, state, likeness, Submission and/or prize information in connection with The Great Model Search®, worldwide, including the Internet, without limitation and without further payment or consideration, except where prohibited by law. Without limiting the generality of these Official Rules, each Winner shall irrevocably grant, transfer, convey and assign to Johnson Products the entirety of the rights in and to the Submission and all renewals and extensions of copyright, and the right to secure copyright registrations thereto in perpetuity including, without limitation, the rights to use a Submission or any portion thereof for any and all purposes in any and all media whether now known or hereafter developed, on a worldwide basis, in perpetuity. Each Winner accepts and acknowledges that Johnson Products shall not be obligated to use the Submission and that Johnson Products at its sole discretion shall have the right to refrain from using the Submission or any portion thereof. Johnson Products shall not incur any liability whatsoever to the extent Johnson Products chooses to refrain from any exploitation of its rights hereunder. Each Winner will indemnify Johnson Products, Released Parties (as defined below) and any licensee of Johnson Products against all claims, damages, liabilities, and expenses (including reasonable counsel fees and legal expenses) arising out of any breach of these terms.

General Conditions

If for any reason, The Great Model Search® is not capable of running as planned by reason of infection by virus, bugs, worms, tampering, unauthorized intervention, fraud, technical failures, acts of God (including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities (regardless of whether war is declared), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout or interruption or failure of electricity, Internet or telephone lines or any other causes which, at the sole opinion of Johnson Products, may corrupt or affect the administration, operation, security, fairness, integrity or proper conduct of The Great Model Search®, Johnson Products reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Promotion, and may select the Semi-Finalists, Finalists and/or Winners, from the Submissions received prior to the action taken in a manner as deemed fair and appropriate by Johnson Products and that is consistent with the intent of these Official Rules. Johnson Products reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of The Great Model Search® or to be acting in violation of these Official Rules or any other Promotion, or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of The Great Model Search® may be in violation of criminal and civil law, and, should such an attempt be made, Johnson Products reserves the right to seek damages from any such person to the fullest extent permitted by law. Johnson Product’ failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to any entry or Submission, the authorized account holder of the email address used to register and submit an entry or Submission will be deemed to be the Entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted address. Entrant may be required to show proof of being the authorized account holder.

Johnson Products Company, Inc. reserves the right to change, alter, modify, or edit the rules of the contest to prevent fraud, impropriety, abuse, and/or otherwise to preserve the integrity of the contest for all contestants. These changes may be made with or without advance notice by posting within the rules of the contest. When posted, such rules become retroactive and applicable to all contestants.

Release and Limitations of Liability

Except where prohibited, by participating in The Great Model Search®, Entrant agrees to release and hold harmless Johnson Products Company, Inc. and their respective related companies, parents, subsidiaries, affiliates, and their respective agents and agencies, and their respective officers, directors, employees and agents (the "Released Parties") from and against any claim or cause of action arising out of participation in the Promotion, including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) downtime for scheduled maintenance; (e) errors in the administration of the Promotion or the processing of entries or Submissions; (f) late, lost, or undeliverable mail; (g) defamation, libel, slander, embarrassment and/or humiliation  which may be caused, directly or indirectly, in whole or in part, from disparagement or other comment  of and/or with respect to the Submission; or (h) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Promotion. Entrant further agrees that in any cause of action, the Released Parties' liability will be limited to the cost of entering and participating in the Promotion and in no event shall the Released Parties be liable for attorney's fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

Disputes

Entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with The Great Model Search® shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the state of Texas or the appropriate Texas State or Federal Court located in Dallas County in the State of Texas (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering The Great Model Search®, but in no event attorneys' fees; and (c) under no circumstances will Entrant be permitted to obtain awards for monetary damages and Entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Johnson Products in connection with The Great Model Search®, shall be governed by, and construed in accordance with, the laws of the state of Texas without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Texas.

Promotion Results

Winner List requests will only be accepted after The Great Model Search® Finale Event and before July 30, 2010.
